This Supplier Agreement (the "Agreement") is entered into between Milatos (the "Platform") and the supplier ("You") whose signup you submit on book.milatos.com/signup.php. By ticking the "I have read and agree to the Supplier Agreement" box at signup, You confirm that You have read, understood, and accept the terms below.
/s/{slug}, payment routing (Stripe, PayPal), supplier dashboard, license-fee statement and any related software made available at book.milatos.com.Subject to Your compliance with this Agreement and to the activation of Your account, the Platform grants You a non-exclusive, non-transferable, revocable right to use the Platform Services solely to (a) list Your accommodation or vehicles for sale, (b) embed Platform-issued widgets on websites You own or control, and (c) take bookings made by end customers through the Platform.
You will receive a unique License Key upon approval (e.g. HOTEL-GR-### or CRRNTL-GR-###). The License Key identifies Your installation, is the technical token by which this Agreement is enforced, and may be suspended or revoked if You breach this Agreement.
The Platform charges a license fee for each confirmed booking. The current rate is 2% of the booking total, with a minimum of €1.50 per booking, billed to Your supplier account. License fees are payable by the end of each calendar month. Unpaid fees may result in suspension of the License Key and removal of Your listings from the Platform.
The Platform may change the fee rate from time to time with at least 30 days' written notice. Bookings already accepted remain billed at the rate in force when they were confirmed.
You will not disclose any Confidential Information to any third party, nor use it for any purpose other than operating Your supplier account on the Platform. Without limiting the foregoing, You will not publish screenshots of the supplier dashboard, the fee statement, internal admin pages, or any analytics that the Platform makes available only to logged-in suppliers.
Confidentiality survives termination of this Agreement for a period of five (5) years.
For the duration of this Agreement and for twenty‑four (24) months after it ends, You will not, directly or indirectly, and whether alone or with others:
This clause does not prevent You from continuing to operate Your own accommodation or vehicle-rental business, from listing on third-party OTAs (such as Booking.com or Expedia) that already existed before this Agreement, or from operating Your own website that takes bookings independently of the Platform.
For twelve (12) months after this Agreement ends, You will not knowingly solicit, induce or accept any booking from a customer whose details You first obtained through the Platform, except where that customer contacts You independently and without prompting from You.
The Platform retains all rights in aggregated, anonymised booking data and in any data generated about how the Platform Services are used. Personal customer data introduced through a booking belongs to the customer; both parties will process it in accordance with applicable data-protection law (including the GDPR).
Either party may terminate this Agreement on 30 days' written notice. The Platform may terminate immediately if You: breach Sections 4–6, fail to pay license fees for more than 30 days after they are due, or use the Platform for any unlawful purpose.
On termination Your License Key will be deactivated and Your listings removed. The clauses on Confidentiality, Non-compete, Non-solicitation, License Fees outstanding, and Governing Law survive termination.
The Platform Services are provided "as is". To the maximum extent permitted by law the Platform's total liability under this Agreement is capped at the license fees You have paid in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect or consequential loss.
This Agreement is governed by the law of the Hellenic Republic (Greece). Any dispute arising out of or in connection with it is subject to the exclusive jurisdiction of the courts of Heraklion, Crete, save that the Platform may at its option seek injunctive relief in any competent court to protect its Confidential Information or enforce Sections 5–6.
When You tick the acceptance box at signup, the Platform records the agreement version, the timestamp and Your IP address. That record, together with the License Key issued on approval, is taken as conclusive evidence that You signed this Agreement.
